Terms of Service

Welcome to Nort Capital. These Terms of Service govern your access to and use of the website located at nortcapital.com, the Nort Capital idle cash tools, and any related features or subscriptions we make available. By using the site or the tools, you confirm that you have read these terms, that you understand them, and that you agree to be bound by them.

If you do not agree with any part of these terms, do not use the site or the tools. Nort Capital is a corporation, and these terms form the agreement between you and that corporation.

1. Company Information

Nort Capital Performance Partners Inc., doing business as Nort Capital, is a corporation that provides cash tracking and financial education tools. 2. What Nort Capital Does

Nort Capital measures money that is sitting still. The service identifies cash that is not doing anything: balances held in checking beyond the buffer you set for yourself, savings held at a rate below a published benchmark, and proceeds left uninvested in a brokerage account after a sale, and expresses what holding it in place costs you over a year.

The Idle Cash Calculator is free and requires no account. You enter your balances and the liquid buffer you want to keep on hand, and the calculator returns the amount sitting above that buffer along with the annual cost of leaving it where it is, measured against a published reference rate that is dated and sourced on the page.

Nort Capital Watch is our paid subscription. Watch connects to your accounts on a read-only basis and monitors them on an ongoing schedule. It flags balances that drift above your buffer, notifies you when the rate on a savings account you track falls, catches settlement cash that has been sitting uninvested, and issues a quarterly report showing whether your idle cash figure moved.

Nort Capital does not hold, transfer, invest, or otherwise move your money. We are a measurement tool.

3. Eligibility and Accounts

You must be at least 18 years of age and capable of forming a binding contract to use the service. The Idle Cash Calculator is available without registration. An account is required only for Nort Capital Watch, and its purpose is to store the accounts you have chosen to monitor and the history of your idle cash figure over time.

You are responsible for the accuracy of the information you enter, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us at support@nortcapital.com if you believe your account has been accessed without your authorization.

4. Read-Only Access and No Movement of Funds

Where you choose to connect an account to Nort Capital Watch, that connection is established on a read-only basis through a third-party aggregation provider. Nort Capital receives balance and transaction information for the purpose of measurement only.

Nort Capital cannot initiate transfers, payments, trades, withdrawals, or any other movement of funds, and does not request or hold authority to do so.

Nort Capital does not take custody of your funds and is not a bank, a broker-dealer, a money transmitter, an investment adviser, or a lender.

You may disconnect any account at any time from within your Nort Capital Watch settings.

5. Financial Information Disclaimer

Nort Capital is an educational measurement tool. Nothing on this website, in the calculator, in any alert, or in any report produced by the service constitutes financial, investment, tax, or legal advice, and nothing we publish should be read as a recommendation to take or refrain from any particular action with your money.

Reference rates shown alongside your results are published third-party rates, presented with their source and the date observed, for the sole purpose of quantifying a gap. Presenting a reference rate is not an endorsement of any bank, fund, account, or provider, and Nort Capital does not recommend specific financial products or receive compensation for directing you to any.

Figures produced by the service depend on the accuracy and completeness of the information available to it, and reference rates change. Any decision you make on the basis of information from Nort Capital is yours alone, made at your own risk and discretion. Consult a qualified professional before acting on financial matters.

6. Intellectual Property

The site and the service, including the calculator logic, the idle cash and buffer methodology, the alerting and reporting formats, the software, the text, the graphics, the interface design, and the Nort Capital name and logo, are the property of Nort Capital Performance Partners Inc. or its licensors and are protected by intellectual property law.

You may use the service for your own personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, create derivative works from, reverse engineer, scrape, republish, or commercially exploit any part of the site or the service without our prior written consent.

7. SMS Messaging – Account Notifications

Nort Capital operates an SMS messaging program limited exclusively to account notifications. Every message relates to an account you already hold with us or to a request you initiated. Messages you may receive include idle cash alerts you have subscribed to, such as a balance drifting above your buffer, a rate change on a savings account you track, or settlement cash left uninvested; notices that your quarterly report is ready; account security and login verification codes; billing and renewal notices for Nort Capital Watch; and replies to support inquiries you started.

This program is not a marketing channel. We do not send promotional offers, upgrade pushes, content blasts, partner offers, or cross-promotion by SMS.

How you opt in. Consent is collected on our website through a standalone, unchecked checkbox presented at the point where you provide your mobile number. It is never pre-checked, never bundled with your acceptance of these Terms of Service, and never required in order to use the Idle Cash Calculator or to purchase a subscription. Consent is not a condition of any purchase.

What you confirm when you opt in. By enrolling, you confirm that you are at least 18 years of age, that you are the subscriber to the mobile number you provided or are authorized by the subscriber to enroll it, and that you will notify us at support@nortcapital.com if you give up or change that number. You consent to receive account notification text messages from Nort Capital at that number, including messages delivered by an automatic telephone dialing system.

Frequency and cost. Message frequency varies with your account activity and the alerts you have enabled. Message and data rates may apply, and any such charges are billed by your mobile carrier and are your responsibility.

To opt out: Text STOP to [INSERT SHORT CODE] at any time to cancel, and you will receive one final confirmation message and no further SMS notifications will be sent.

Opting out of SMS notifications stops text messages only. It does not cancel your Nort Capital Watch subscription, close your account, or stop email or in-application notices, each of which is managed separately in your account settings.

Supported carriers include AT&T, T-Mobile, Metro PCS, Verizon Wireless, US Cellular, Google Voice, Cellular One, Cellcom, Cellular South, Interop, and Clearsky. Carriers are not liable for delayed or undelivered messages. Wireless carriers supported by the program may change, and delivery is subject to transmission limitations and handset capability outside our control.

We do not sell, rent, lease, or share your mobile number or your SMS opt-in data with third parties for their marketing or promotional purposes. Our full handling of SMS data is described in Section 4 of our Privacy Policy, which forms part of your agreement with us alongside these Terms of Service.

8. Acceptable Use

You agree not to use the site or the service to do any of the following:

• Submit information that is not yours to submit, or connect an account you are not authorized to access.
• Interfere with, disrupt, overload, or attempt to gain unauthorized access to the service, its infrastructure, or any other user's data.
• Use automated means to extract data from the service, or resell, sublicense, or redistribute output from the service as your own product.
• Use the service for any unlawful purpose or in violation of any applicable regulation.

We may suspend or terminate access to the service where we reasonably believe these terms have been breached.

9. Disclaimer of Warranties

The site and the service are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Nort Capital disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the service will be uninterrupted, timely, secure, or free from error, that any account connection will remain available, or that any figure, rate, alert, or report produced by the service will be accurate, complete, or current.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Nort Capital Performance Partners Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, the site or the service. This includes, without limitation, lost profits, lost interest or yield, lost data, loss of goodwill, and other intangible losses, whether the claim is based in contract, tort, strict liability, or any other theory.

In no event shall the total aggregate liability of Nort Capital Performance Partners Inc. for all claims relating to these terms or the service exceed the greater of the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or one hundred United States dollars (US $100).

11. Governing Law and Venue

These Terms of Service are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law rules. Any dispute arising out of or relating to these terms or the service shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts.

12. Changes to These Terms

We may revise these Terms of Service from time to time. When we do, the revised terms will be posted on this page, and your continued use of the site or the service after they are posted constitutes your acceptance of them. We encourage you to review this page periodically. If a change materially reduces your rights and you hold an active subscription, we will make reasonable efforts to notify you through the service.
